These representatives are responsible for implementing sustainability initiatives within theirrespectiveoperations,monitoringprogress against targets, and ensuring alignment with the Group Sustainability Framework. To support effective implementation, DNeX places strong emphasis on ongoing internal engagement and communication. Senior Management, Heads of Departments and key operational personnel are regularly engaged to reinforce the role of sustainability in daily operations, performance expectations and decision making. This approach ensures that sustainability is treated as a business imperative rather than a standalone initiative. Overall, sustainability at DNeX is governed through a four tier governance structure spanning the Board, management committees and operating entities. This structure provides clear accountability, enables timely identification of material and emerging sustainability matters, and supports the development and execution of effective action plans across the Group. SUSTAINABILITY GOVERNANCE At DNeX, sustainability governance is embedded within the Group’s overall governance and risk oversight framework. The Board holds ultimate accountability for sustainability oversight and long-term value creation, ensuring that sustainability considerations are integrated into business strategy, risk management and decision making. The Board is supported by the Board Risk, Governance & Sustainability Committee (“RGSC”), which provides focused oversight of the Group’s sustainability agenda. The RGSC reviews sustainability priorities, performance and emerging risks, and reports regularly to the Board and Management to ensure alignment with DNeX’s strategic objectives. At the management level, the Sustainability Committee (“SC”), chaired by the GCEO, is responsible for driving the development and implementation of the Group’s sustainability strategy. Guided by its Terms of Reference, the SC ensures that sustainability priorities remain aligned with DNeX’s corporate vision, goals and values, while promoting clear accountability and ownership across the organisation. The Group Risk and Sustainability Management Department (“RSM”) serves as the Secretariat to the SC, supporting the effective functioning of the governance structure. In this role, the Secretariat coordinates sustainability planning, reporting and monitoring activities, facilitates cross functional engagement, and supports Management and subsidiary teams in executing sustainability initiatives consistently across the Group.
