NOTES TO THE FINANCIAL STATEMENTS 32. INCORPORATION OF A SUBSIDIARY (i) On 13 June 2025, the Company incorporated two wholly-owned subsidiaries, DNeX Private Equity Ltd (“DNeX PE”) and DNeX PE General Partner Ltd. Each entity was incorporated with an issued share capital of 100 ordinary shares for a total cash consideration of USD100. The financial effects arising from incorporation of a subsidiaries were not presented as the financial effects were not material to the Group. (ii) In the previous financial year, DNeX Energy Sdn. Bhd., a wholly-owned subsidiary of the Company incorporated Ping Energy Marketing Limited consisting of 1 ordinary share for a total consideration of USD1. The financial effects arising from incorporation of a subsidiaries were not presented as the financial effects were not material to the Group. 33. ACQUISITION OF NON-CONTROLLING INTERESTS In the previous financial year, Dagang Net Technologies Sdn. Bhd., a wholly-owned subsidiary of the Company increased its interest in the following subsidiaries: (i) Genaxis Group Sdn. Bhd. (“Genaxis”) via capitalisation of the amount due from Genaxis of RM36,197,760 by way of allotment of 36,197,760 ordinary shares at RM1 per ordinary share; and (ii) Innovation Associates Consulting Sdn. Bhd. (“IAC”) via capitalisation of amount due from IAC of RM29,030,310 by way of allotment of 29,030,310 ordinary shares of RM1 per ordinary share. OPERATING SEGMENTS The Group has four reportable segments, as described below, which represent the Group’s strategic business units. The strategic business units offer different products and services and are managed separately because they require different technical expertise and marketing strategies. For each of the strategic business unit, the Group Chief Executive Officer (“GCEO”) reviews internal management report at least on a quarterly basis. The following summary describes the operations in each of the Group’s reportable segments: (a) Corporate The Company is an investment holding company. The segment is in provision of corporate services to the entities within the Group.
