DESTINI Annual Report 2026

GOVERNANCE OUR GOVERNANCE POLICY FRAMEWORK Our governance documents assign decision-making and review responsibilities and set standards of conduct for directors, employees and relevant business partners. Board Charter The Board Charter, adopted on 25 April 2022, places sustainability strategy within the annual corporate plan that the Board reviews and approves. It also reserves strategic plans, capital management and changes to delegated authority for Board decision, linking sustainability to decisions on Destini’s resources and direction. Committee terms of reference The Audit Committee’s terms cover reporting, audit and controls; the Risk Management Committee’s terms cover risk exposure, tolerance and mitigation; and the Nomination and Remuneration Committee’s terms cover leadership appointments, succession and remuneration. Each has a defined review role within the Board’s wider responsibilities. Code of Conduct and Ethics The Code requires directors to disclose contractual interests, protect confidential information and not use corporate opportunities for personal benefit. It also covers worker safety, protection from reprisal for whistleblowers and responsible use of natural resources, extending ethical conduct beyond financial decisions. Directors’ Fit and Proper Policy Adopted on 1 July 2022, the policy governs the appointment and re-election of directors in Destini and its subsidiaries. Assessment covers character and integrity, experience and competence, and time commitment, and the competence criteria include financial literacy and an understanding of sustainability matters. Anti-Bribery and Anti-Corruption Policy The policy applies to employees and associated third parties. It prohibits bribery and addresses gifts, entertainment, donations, conflicts of interest and thirdparty dealings. The Integrity and Compliance Unit is identified as policy owner, with the Board responsible for approval and oversight. Whistleblowing Policy Employees and members of the public may report suspected misconduct through the procedures in the Whistleblowing Policy. Reports are kept confidential, subject to legal disclosure requirements, and employees making good-faith reports are protected from retaliation. Matters can be escalated to the Audit Committee Chairman. Environmental, Social and Governance Policy The ESG Policy, dated 22 April 2019, requires harmful occupational safety, environmental and social impacts to be assessed, addressed and monitored. It connects business decisions with stakeholder interests and with the communities affected by Destini’s operations. Human Rights Policy The policy covers operations under Destini’s direct control and subcontractors acting on our behalf. Its principles address dignity, equal treatment, child and forced labour, workplace safety and harassment. These commitments inform the labour and social supply-chain sections of this statement.
