SUSTAINABILITY GOVERNANCE The Board of Directors has ultimate responsibility for Tropicana’s sustainability strategy, governance and reporting. The Board considers sustainability matters as part of the Group’s overall strategy and risk management framework, including key sustainability risks and opportunities relevant to its operations, such as climate change, human rights, occupational health and safety, environmental management, anti-corruption, and supply chain conduct. Sustainability-related matters are considered alongside other business and risk matters and are also discussed, where relevant, in other sections of this Annual Report, including the Management Discussion and Analysis, Statement on Risk Management and Internal Control, and Corporate Governance Overview Statement. To support the Board in fulfilling its responsibilities, Tropicana has established a sustainability governance structure, as summarised below. Board Of Directors Risk Management & Sustainability Committee (“RMSC”) Sustainability Management Team (“SMT”) Sustainability Steering Committee (“SST”) • Responsible for the overall sustainability direction undertaken by the Group, providing guidance on key sustainability issues • Oversees and maintains sustainability compliance guided by the Securities Commission and Bursa Malaysia • Approves the sustainability and risk management framework • Deliberates on sustainability and risk governance issues • Reviews and tables the sustainability and risk management frameworks • Oversees the implementation of these frameworks across the Group • Provides oversight of sustainability initiatives in line with the Group’s purpose, values and strategy • Ensures compliance with external sustainability disclosure requirements, including Bursa Malaysia’s listing requirement • Receives periodic updates from Management on sustainability-related risks, opportunities and performance indicators, and escalates key matters to the Board where appropriate • Comprising of Group C-suite management team • Provides leadership to ensure the implementation of the Group’s sustainability agenda throughout business strategies • Develops sustainability strategies and reports to the Board on the Group’s overall sustainability progress • Responsible for the development and reporting of sustainability strategies and the Group’s overall sustainability progress • Integrates sustainabilityrelated risks and opportunities into the Group’s enterprise risk management and business planning processes • Comprised of a Groupappointed team and ESG officer for monitoring and executing sustainabilityrelated strategies, targets and initiatives • Ensures that processes, policies and controls are in place within the Group’s departments/functions • Reports on the Group’s sustainability performance based on the implemented processes, results and controls via the Group Sustainability Statement 97
