Senior Management conducts regular management and operational meetings to review business performance and operational matters. These meetings involve the Group Chief Executive Officer, Deputy Group Chief Executive Officer, Chief Executive Officer, Deputy Chief Executive Officer, Group Managing Director, Managing Directors, Executive Directors and divisional heads. The Board reviews and approves the Group’s annual budgets, which serve as key benchmarks for monitoring financial and operational performance. Actual results are tracked against approved budgets and prior period performance, with significant variances analysed and corrective actions implemented where required. Authority Limits and Approved Policies The Group has established clearly defined roles, responsibilities and decision-making authority through its approved Discretionary Authority Limits (“DAL”) and Standard Operating Procedures (“SOPs”). Management reviews the DAL periodically and updates it to reflect organisational developments and operational requirements. The Group documents and formalises its SOPs and regularly reviews them to ensure they remain aligned with internal control standards as well as applicable laws and regulations. They are then communicated across the organisation and made readily accessible to employees through the Group’s internal employee portal. Internal control activities are also implemented across all business segments. These controls define clear lines of accountability and authority, including approval limits for procurement and capital expenditure, contract awards, operating expenditure approvals and other significant transactions. The control framework further reinforces segregation of duties, performance monitoring and the safeguarding of the Group’s assets. Integrity Management To ensure the highest standards of ethics and integrity, the Group has implemented an Anti-Bribery and Corruption Policy and supporting procedures aligned with the Malaysian Anti-Corruption Act 2009. The Board adopted the policy on 22 May 2020 and most recently reviewed and approved it on 9 July 2025. The Group further maintains a Whistleblowing Policy, originally adopted on 1 June 2017 and most recently reviewed and approved by the Board on 9 July 2025. The policy establishes clear oversight of the whistleblowing framework and safeguards the protection and confidentiality of whistleblowers. It also provides employees and external stakeholders with formal channels to report genuine concerns relating to impropriety, malpractice or misconduct within the Group so that appropriate remedial action can be taken. The Group also enforces a Gift and Hospitality Policy, which the Board last reviewed and approved on 9 July 2025. The policy sets out the standards and responsibilities for employees in observing and upholding the Group’s zerotolerance stance against bribery and corruption when offering or accepting gifts and hospitality. Information and Communication Technology The Group has established Information and Communication policies and procedures to set cybersecurity standards and safeguard the integrity of its IT systems, data and hardware.
