CORPORATE GOVERNANCE OVERVIEW STATEMENT The determination of the remuneration of Non-Executive Directors is a matter for the Board as a whole. The level of remuneration for Non-Executive Directors takes into consideration the remuneration paid by comparable organisations, as well as the experience and level of responsibilities undertaken by the respective Non-Executive Directors. The remuneration package of each Non-Executive Director is deliberated upon by the Board, with the Director concerned abstaining from deliberations and voting on matters relating to his or her individual remuneration. In addition, the Company reimburses reasonable out-of-pocket expenses incurred by all Non-Executive Directors in the course of discharging their duties and responsibilities as Directors of the Company. The aggregate annual Directors’ fees and other benefits payable to the Directors are subject to shareholders’ approval at the Annual General Meeting (“AGM”), based on the recommendations of the Board.
